3) Service Description

Momentum is a digital service focused on lead capture and management and, where applicable depending on plan and configuration, on enabling and managing SMS communications through external providers.

The service may include trial or “beta” features, interface changes, performance adjustments, and improvements without prior notice, while seeking to maintain service continuity.

4) Eligibility and Website Use

By using Momentum, you represent that:

• You have legal capacity to enter into contracts (or act with authorization from your organization).
• The information you provide is accurate and will be kept up to date.

5) Registration, Accounts, and Security

Where account registration is enabled:

• You are responsible for maintaining the confidentiality of your credentials.
• Any activity carried out under your account will be deemed to have been performed by you.
• You must notify any unauthorized access to soporte@momentumsms.com.

6) Plans, Pricing, Payments, and Billing (where applicable)

Plans, pricing, limits, features, and commercial terms are published on the website and/or defined in the applicable commercial proposal or purchase order.

Where applicable:

• Payments may be processed through Stripe.
• We may require tax information for invoicing purposes.
• Failure to make timely payment may result in service suspension or limitation.

7) External Providers and Third-Party Services

Momentum may integrate with or depend on third-party services, including, for example:

• LabsMobile (messaging / SMS, where applicable)
• Stripe (payments)
• HostGator and/or AWS (infrastructure)
• Google Analytics 4 (GA4) and Meta Pixel (analytics / measurement)

The operation of such services may be subject to their own terms and policies.

8) Permitted Use and Prohibitions

You agree to use Momentum lawfully and without causing harm to third parties or the platform.

Prohibited activities include, without limitation:

• Using the service for spam, deceptive practices, fraud, impersonation, or harassment.
• Sending or managing illegal, defamatory, threatening, discriminatory content, or content that infringes third-party rights.
• Introducing malware, conducting abusive scraping or scanning, or attempting unauthorized access.
• Interfering with the operation of the website, servers, or networks.

Axon Learning may suspend or restrict access if prohibited or risky activity is detected.

9) SMS Messaging (where applicable)

If you use SMS-related features:

• You are responsible for having the appropriate legal basis and consents to contact recipients.
• You are responsible for message content and compliance with applicable obligations (including reasonable opt-out mechanisms and suppression lists).
• You acknowledge that deliverability may vary due to carriers, filters, provider policies, and network conditions.
• SMS costs and usage are governed by the applicable plan and commercial terms.

10) Customer Content and Data

You retain ownership of your data and content. You grant Momentum a limited license to host, process, and transmit such data solely to the extent necessary to provide the service in accordance with these Terms.

11) Intellectual Property

Momentum, the website, its design, text, branding, logos, software, and materials are the property of Axon Learning or its licensors.

No license is granted other than what is strictly necessary to use the service. Copying, distribution, modification, or reverse engineering is prohibited except as permitted by law.

12) Availability, Changes, and Maintenance

The service is provided on an “as is” basis and may experience interruptions due to maintenance, updates, or causes beyond Axon Learning’s reasonable control.

13) Limitation of Liability

To the maximum extent permitted by law:

• Axon Learning shall not be liable for indirect damages, loss of profits, loss of data, or service interruptions arising from third parties (carriers, infrastructure providers, network failures) or customer misuse.
• Axon Learning’s total liability, if any, shall be limited as provided by applicable law and, where applicable, to the amounts actually paid for the service during the period specified in the relevant purchase order.

14) Suspension and Termination

We may suspend or terminate access to Momentum if:

• You breach these Terms,
• There is a security, fraud, or abuse risk,
• Suspension is required by law or by a critical provider.

You may stop using the service at any time. If a subscription or payment exists, the applicable commercial terms will apply.

15) Privacy and Cookies

The processing of personal data is governed by the Privacy Policy and Cookie Policy available in the legal section of the website.

16) Modifications to the Terms

We may update these Terms from time to time. The current version will be published in the legal section of the website, indicating the date of last update. Continued use of the service implies acceptance of the changes.

17) Governing Law and Jurisdiction

These Terms are governed by the laws of the United Mexican States.
For any disputes, the parties submit to the competent courts of Tamaulipas, Mexico, unless mandatory provisions provide otherwise.
